MVP Sports Management

Project Specifications:

Designer will provide a standard web site based on information contained in Questionnaire provided to Client. Any additional work beyond the information in Questionnaire shall be addressed in the Maintenance and Hourly Rate section.

Fees

Standard Web Site rate shall be $300.00. See Maintenance and Hourly Rate section for services below.

Maintenance and Hourly Rate

This agreement includes minor webpage maintenance to regular web pages (not store product pages) over a six-month period, including updating links and making minor changes to a sentence or paragraph. It does not including removing nearly all the text from a page and replacing it with new text. If the client or an agent other than Designer attempts updating the client’s pages, time to repair web pages will be assessed at the hourly rate, and is not included as part of the updating time. The six-month maintenance period commences upon the date the client signs this contract.

Changes requested by the client beyond those limits will be billed at the hourly rate of $25.00. This rate shall also govern additional work authorized beyond the maximums specified above for such services as general Internet orientation education, marketing consulting, webpage design, editing, modifying product pages and databases in an online store, and art, photo, graphics services, and helping clients learn how to use their own webpage editor. CGI programming charges (if any) are not included in this rate.

Fees

Fees to Designer are due and payable on the following schedule: 50% upon signing this contract, 50% when the web pages have been constructed according to the client’s original written specifications. Please note: final bill will be issued upon completion of Designer’s work – OR – if we have completed our development and are awaiting final changes from the client for more than 14 days, the final payment will be due and issued. The final changes the client requires will still be included in the final invoice/bill amount, but can be completed at the clients leisure (up to 6months).

URL

Client may attain any desired URL’s to be used for web site. At Client’s option, Designer shall procure any available URL for a fee of $20.00 per year. MVP Sports Management will not be responsible for any lapse in maintaining URL.

Hosting.

Designer shall provide hosting or web site for twelve (12) months. After twelve (12) months Designer shall have the option to continue to provide hosting for web site on a month-to-month basis. If Designer shall not choose to continue hosting services, Designer will give Client thirty (30) days notice to find hosting for web site.

Assignment of Web Design Project.

Designer reserves the right, and you hereby agree, to assign subcontractors to this Web Design Project to insure that the terms of this agreement are met as well as on-time completion.

Copyrights and Trademarks.

The Client unconditionally guarantees that any elements of text, graphics, photos, designs, trademarks, or other artwork furnished to MVP Sports Management, Inc. for inclusion in the Web Design Project are owned by the Client, or that the Client has permission from the rightful owner to use each of these elements, and will hold harmless, protect, indemnify and defend MVP Sports Management, Inc. and its subcontractors from any liability (including attorney’s fees and court costs), including any claim or suit, threatened or actual, arising from the use of such elements furnished by the Client.

Completion Date.

Designer and the Client must work together to complete the Web Design Project in a timely manner. We agree to work expeditiously to complete the Web Design Project no later than 30 days after Client has submitted all necessary materials. If the Client does not supply Designer with complete text and graphics content for this Web Design Project within 45 days of the effective date of this agreement, the entire deposit amount of the agreement shall be retained by Designer as liquidated damages and the contract shall become null and void, at Designer option, unless the Web Design Project is canceled in writing by the Client prior to 45 days of the effective date of the agreement.

Web Design Project Copyright.

Copyright to the finished web design site produced by Designer will be owned by Designer. The Client will be assigned rights to use the Web Design Project as a web site, once final payment under this agreement and any additional charges incurred have been paid. Rights to photos, graphics, source code, work-up files, and computer programs specifically are not transferred to the Client, and remain the property of their respective owners. Designer and its subcontractors retain the right to display graphics and other Web Design elements as examples of their work in their respective portfolios. All Web Design Projects will contain a copyright/legal statement with a link to Designer and / or subcontractor’s web site(s).
